Terms of Service
Last updated: 14 October 2026
These terms apply to all services provided by UrbanByte Labs Pty Ltd (ABN 00 000 000 000) ("UrbanByte Labs", "we", "us") to you ("the client"). Your written proposal or statement of work forms part of these terms and takes priority if there is any inconsistency.
1. Quotes and scope
Quotes are valid for 30 days and are based on the scope described in the proposal. Work outside the agreed scope will be quoted separately and only started with your written approval.
2. Fees and payment
- All prices are in Australian dollars and include GST unless stated otherwise.
- Projects are typically invoiced as a 30% deposit, milestone payments and a final payment before go-live.
- Invoices are payable within 14 days. We may pause work on overdue accounts.
- Monthly plans are billed in advance and may be cancelled with 30 days' written notice.
3. Client responsibilities
You agree to provide timely feedback, content, access and approvals. Delays in providing these may affect timelines and costs. You warrant that any material you supply does not infringe the rights of others.
4. Intellectual property
On payment in full, ownership of the project-specific code, designs and content we create for you transfers to you. We retain ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual licence to use them as part of your project. Open-source components remain subject to their own licences.
5. Confidentiality
Each party will keep the other's confidential information private and use it only for the purposes of the engagement.
6. Hosting and third-party services
Where our services rely on third-party providers (such as cloud hosting, domain registrars or software platforms), their terms also apply. We are not responsible for outages or changes caused by those providers, but we will work to minimise any impact.
7. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth) or any other legislation that cannot lawfully be excluded.
8. Limitation of liability
To the extent permitted by law, our total liability arising from any engagement is limited to the fees paid for the services giving rise to the claim, and we are not liable for indirect or consequential loss, including loss of profits or data.
9. Termination
Either party may terminate an engagement with written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days. You must pay for work completed up to the termination date.
10. Governing law
These terms are governed by the laws of Victoria, Australia, and each party submits to the non-exclusive jurisdiction of its courts.
